Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and GeneChef, LLC ("GeneChef," "Company," "we," "our," or "us") governing your access to and use of the GeneChef platform accessible at genechef.io, including all associated subdomains, APIs, documentation, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, policies, or guidelines referenced herein or made available through the Service (collectively, the "Agreement"). If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE. YOUR CONTINUED USE OF THE SERVICE FOLLOWING THE POSTING OF REVISED TERMS CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

  • "Authorized User" means any individual who is authorized by you to access and use the Service under your account, including team members added under a Team or Enterprise plan.
  • "Content" means any data, text, files, datasets, genomic sequences, workflows, analysis results, images, or other materials uploaded to, created through, or generated by the Service.
  • "User Content" means Content that you or your Authorized Users upload, submit, or transmit to the Service.
  • "Service Content" means Content provided by GeneChef, including documentation, tutorials, public datasets, sample workflows, and AI-generated outputs.
  • "Galaxy" means the open-source Galaxy data analysis platform (https://galaxyproject.org) deployed as part of the Service.
  • "Subscription Plan" means the tier of service you have selected (Starter, Professional, Team, or Enterprise), each with defined features, usage limits, and pricing.
  • "GPU Compute" means the GPU-accelerated computing resources available for AI/ML bioinformatics tools, billed on a per-hour basis.

3. Description of Service

GeneChef is a cloud-based bioinformatics Software-as-a-Service (SaaS) platform that provides access to the Galaxy data analysis framework, AI-powered workflow generation and analysis (powered by Anthropic Claude via Amazon Bedrock), dataset management, GPU-accelerated computing for AI/ML bioinformatics tools, and related scientific research tools. The Service is hosted on Amazon Web Services (AWS) infrastructure in the United States (us-east-2 region).

The Service includes, but is not limited to: bioinformatics workflow creation and execution; AI-powered natural language workflow generation; dataset upload, management, and analysis; access to public reference datasets; GPU-accelerated tools including AlphaFold2, DeepVariant, ColabFold, and Parabricks; team collaboration and workspace management; documentation and tutorials; and integration with the Galaxy MCP Server for tool discovery and validation.

4. Eligibility

The Service is intended for use by researchers, scientists, academic institutions, healthcare organizations, pharmaceutical companies, and other entities engaged in scientific research and data analysis. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to create an account and use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on behalf of that organization.

5. Account Registration and Security

To access certain features of the Service, you must create an account. In connection with your account, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the confidentiality and security of your account credentials, including your password
  • Enable and maintain multi-factor authentication (MFA) as required by the Service for HIPAA compliance
  • Immediately notify GeneChef of any unauthorized access to or use of your account
  • Accept full responsibility for all activities that occur under your account, whether or not authorized by you
  • Not share your account credentials with any third party or allow any third party to access your account
  • Not create more than one account per individual, or create accounts using false or misleading information

GeneChef reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or contains inaccurate registration information. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

6. Subscription Plans, Fees, and Payment

6.1 Subscription Tiers

The Service is offered through tiered subscription plans: Starter ($99/month), Professional ($299/month), Team ($899/month for 5 seats), and Enterprise ($2,499+/month, custom pricing). Each plan includes defined usage limits for AI queries, storage, concurrent jobs, GPU compute hours, and user seats. Annual billing is available at a 17% discount. 6.2 Billing and Payment

  • All fees are quoted and payable in United States Dollars (USD) unless otherwise agreed in writing
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle
  • All payments are processed securely through Stripe, Inc. You authorize Stripe to charge your designated payment method for all applicable fees
  • You are responsible for providing a valid payment method and ensuring sufficient funds are available
  • All fees are exclusive of applicable taxes, levies, or duties, which you are responsible for paying

6.3 GPU Compute Billing

GPU compute is available to Professional, Team, and Enterprise subscribers. Each plan includes a monthly allocation of GPU hours (Professional: 10 hours, Team: 30 hours, Enterprise: 100 hours). Included GPU hours are billed at $2.00/hour as part of your subscription. Usage exceeding your plan's included allocation is billed as overage at $2.50/hour, metered and charged automatically via Stripe. GPU jobs have a maximum duration of 24 hours per job. Starter plan subscribers do not have access to GPU compute.

6.4 Seat Billing

Team plans include 5 seats. Additional seats may be added at $149/seat/month. Enterprise plans include 25 seats. Additional seats may be added at $199/seat/month. Seat additions are prorated for the remainder of the current billing cycle.

6.5 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle (monthly or annual) at the then-current rate unless you cancel prior to the renewal date. We will provide at least 30 days' notice of any price increases for existing subscribers.

6.6 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting billing@genechef.io. Cancellation takes effect at the end of the current billing period; you will retain access to the Service until that date. We do not provide prorated refunds for partial billing periods, except as required by applicable law. Annual subscriptions cancelled mid-term are not eligible for refunds of unused months unless otherwise required by law.

6.7 Failed Payments

If a payment fails, we will attempt to charge your payment method up to three additional times over a 14-day period. If all attempts fail, your account may be downgraded to a restricted state with read-only access. If payment is not resolved within 30 days, we reserve the right to suspend or terminate your account. You remain liable for all outstanding fees.

7. Usage Limits and Fair Use

Each Subscription Plan includes defined usage limits for AI queries, data storage, concurrent workflow jobs, GPU compute hours, and concurrent GPU jobs. These limits are enforced automatically by the Service. You agree to:

  • Operate within the usage limits of your selected Subscription Plan
  • Not attempt to circumvent, bypass, or manipulate usage tracking or enforcement mechanisms
  • Not use automated scripts, bots, or other programmatic means to artificially inflate usage or consume resources beyond your plan's allocation
  • Upgrade your Subscription Plan if your usage consistently exceeds your current plan's limits

If you exceed your plan's usage limits, the Service may throttle or temporarily restrict access to the affected features until the next billing cycle or until you upgrade your plan. GPU compute overage is billed automatically as described in Section 6.3. We reserve the right to suspend accounts that engage in abusive or excessive usage patterns that degrade the Service for other Users.

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any Authorized User or third party to:

  • Violate any applicable local, state, national, or international law, regulation, or ordinance
  • Infringe upon or misappropriate the intellectual property rights, privacy rights, or other rights of any third party
  • Upload, transmit, or store any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Upload or transmit any malware, viruses, worms, Trojan horses, ransomware, or other malicious code
  • Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service
  • Interfere with or disrupt the integrity, performance, or availability of the Service or its underlying infrastructure
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any proprietary components of the Service (excluding open-source components governed by their respective licenses)
  • Use the Service for cryptocurrency mining, distributed computing unrelated to bioinformatics, or any purpose other than scientific research and data analysis
  • Share, resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted under your Subscription Plan
  • Use the Service to process data in violation of applicable data protection laws, including uploading Protected Health Information without appropriate safeguards and agreements in place
  • Scrape, crawl, or use automated means to extract data from the Service beyond the scope of authorized API access
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

GeneChef reserves the right to investigate and take appropriate action against any User who violates this Acceptable Use Policy, including without limitation removing Content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

9. Intellectual Property Rights

9.1 GeneChef Intellectual Property

The Service, including its design, architecture, user interface, proprietary algorithms, documentation, trademarks, logos, and all other proprietary elements (excluding User Content and open-source components), is owned by GeneChef and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service or GeneChef's intellectual property, except for the limited license to use the Service as described herein.

9.2 User Content Ownership

You retain all ownership rights, including all intellectual property rights, in and to your User Content. GeneChef does not claim any ownership interest in your User Content. By uploading User Content to the Service, you grant GeneChef a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your User Content or your account, subject to reasonable backup retention periods.

9.3 Open-Source Components

The Service incorporates open-source software components, including the Galaxy platform (licensed under the Academic Free License v3.0). Your use of such open-source components is governed by their respective open-source licenses, which take precedence over these Terms to the extent of any conflict with respect to those components.

9.4 Feedback

If you provide GeneChef with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you hereby grant GeneChef a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Service without any obligation to you.

10. Data Ownership, Research Data, and Confidentiality

10.1 Research Data

You retain all ownership rights to your Research Data, including datasets, genomic sequences, workflows, analysis parameters, and results uploaded to or generated through the Service. GeneChef will not access, use, analyze, or share your Research Data except as strictly necessary to provide the Service, as directed by you, or as required by law. We will not use your Research Data to train, fine-tune, or improve AI models or for any purpose other than providing the Service to you.

10.2 Confidentiality

GeneChef will treat your User Content and Research Data as confidential information and will implement appropriate technical and organizational measures to protect it from unauthorized access, disclosure, or use. Our confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of GeneChef; (b) was known to GeneChef prior to your disclosure; (c) is independently developed by GeneChef without reference to your confidential information; or (d) is required to be disclosed by law, regulation, or court order, provided that GeneChef gives you reasonable prior notice where legally permitted.

10.3 Data Portability

You may export your User Content and Research Data at any time through the Service's data export features or by contacting support@genechef.io. Upon termination of your account, you will have 30 days to export your data before it is permanently deleted in accordance with our data retention policies.

11. AI-Powered Features and Disclaimers

The Service includes AI-powered features, including workflow generation, dataset analysis, and a conversational chat interface powered by large language models (Anthropic Claude via Amazon Bedrock) with Retrieval-Augmented Generation (RAG) capabilities. With respect to these features, you acknowledge and agree that:

  • AI-generated outputs (including workflows, analysis suggestions, and chat responses) are provided as recommendations and suggestions only, and should not be relied upon as the sole basis for scientific conclusions, clinical decisions, or regulatory submissions
  • AI outputs may contain errors, inaccuracies, or hallucinations. You are solely responsible for reviewing, validating, and verifying all AI-generated outputs before use
  • GeneChef does not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated outputs
  • Your AI queries and prompts are processed by Amazon Bedrock. Amazon Bedrock does not use your inputs or outputs to train foundation models
  • All AI model invocations are logged for audit, compliance, and quality assurance purposes with a 6-year retention period
  • GeneChef does not use your Research Data or AI interaction data to train, fine-tune, or improve AI models
  • AI features are subject to the usage limits of your Subscription Plan

THE AI-POWERED FEATURES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. GENECHEF EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON AI-GENERATED OUTPUTS.

12. HIPAA Compliance

The Service implements technical safeguards consistent with HIPAA requirements, including encryption at rest and in transit, multi-factor authentication, role-based access controls, and comprehensive audit logging with 6-year retention. However, the Service is not automatically HIPAA-compliant for all Users.

If you are a Covered Entity or Business Associate under HIPAA and intend to use the Service to create, receive, maintain, or transmit Protected Health Information (PHI), you must:

  • Subscribe to an Enterprise plan
  • Execute a Business Associate Agreement (BAA) with GeneChef prior to uploading any PHI
  • Ensure that all Authorized Users who access PHI through the Service are trained on HIPAA requirements
  • Obtain all necessary authorizations and consents from data subjects before uploading PHI
  • Comply with all applicable HIPAA requirements, including the Privacy Rule, Security Rule, and Breach Notification Rule

To request a BAA, contact sales@genechef.io. GeneChef shall not be liable for any HIPAA violations resulting from your failure to execute a BAA or your non-compliance with HIPAA requirements.

13. Demo Accounts

GeneChef may offer demo accounts with limited functionality for evaluation purposes. Demo accounts are provided "as is" with restricted access, sandboxed environments, and periodic data resets. Data stored in demo accounts may be deleted at any time without notice. Demo accounts are not intended for production use, and GeneChef makes no guarantees regarding the availability, performance, or data persistence of demo accounts. Demo accounts are subject to all other provisions of these Terms.

14. Team Accounts and Authorized Users

If you subscribe to a Team or Enterprise plan, you may invite Authorized Users to access the Service under your account. As the account administrator, you are responsible for:

  • Managing Authorized User access, including adding and removing team members
  • Assigning appropriate roles and permissions (owner, edit, view) to Authorized Users
  • Ensuring that all Authorized Users comply with these Terms and your organization's policies
  • All activities conducted by Authorized Users under your account
  • Payment of all fees associated with your team's usage, including additional seat charges
  • Promptly removing access for Authorized Users who leave your organization or no longer require access

Workspace-based permissions (owner, edit, view) govern access to shared workflows and datasets within a team. The account administrator is responsible for configuring appropriate permission levels for each Authorized User.

15. Service Availability and Service Level

15.1 Availability

GeneChef will use commercially reasonable efforts to maintain the availability of the Service. We target 99.9% uptime for Enterprise plan subscribers, measured on a monthly basis, excluding scheduled maintenance windows and force majeure events. Specific service level commitments for Enterprise customers are defined in the applicable Enterprise Service Level Agreement (SLA).

15.2 Scheduled Maintenance

We may perform scheduled maintenance on the Service from time to time. We will provide at least 48 hours' advance notice of scheduled maintenance that is expected to result in material service disruption, except in cases of emergency maintenance required to address security vulnerabilities or critical system failures.

15.3 No Guarantee

Notwithstanding the foregoing, GeneChef does not guarantee uninterrupted, error-free, or secure access to the Service. The Service may be subject to interruptions, delays, or errors due to factors beyond our reasonable control, including but not limited to AWS infrastructure outages, network failures, third-party service disruptions, natural disasters, and acts of government.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. GENECHEF EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR RESULTS OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED OUTPUTS
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS

THE SERVICE IS A COMPUTATIONAL TOOL FOR SCIENTIFIC RESEARCH AND DATA ANALYSIS. IT IS NOT A MEDICAL DEVICE AND IS NOT INTENDED FOR USE IN CLINICAL DIAGNOSIS, TREATMENT, OR PATIENT CARE DECISIONS. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING ALL RESULTS AND OUTPUTS GENERATED BY THE SERVICE BEFORE RELYING ON THEM FOR ANY PURPOSE.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

17. Limitation of Liability

17.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENECHEF, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, OR BUSINESS; LOSS OF DATA, RESEARCH RESULTS, OR SCIENTIFIC FINDINGS; LOSS OF GOODWILL OR REPUTATION; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF GENECHEF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GENECHEF'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO GENECHEF FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

17.3 Exceptions

The limitations in this Section 17 shall not apply to: (a) liability arising from GeneChef's gross negligence or willful misconduct; (b) liability arising from a breach of GeneChef's confidentiality obligations under Section 10.2; (c) GeneChef's indemnification obligations under Section 18; or (d) liability that cannot be limited or excluded under applicable law.

18. Indemnification

18.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless GeneChef, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights, including intellectual property rights or privacy rights; or (f) any claim that your User Content caused damage to a third party.

18.2 GeneChef's Indemnification Obligations

GeneChef will indemnify, defend, and hold harmless you from and against any third-party claim that the Service (excluding User Content, open-source components, and third-party services) infringes any valid patent, copyright, or trademark of a third party, provided that you: (a) promptly notify GeneChef of the claim; (b) grant GeneChef sole control of the defense and settlement; and (c) provide reasonable cooperation at GeneChef's expense. GeneChef's obligations under this section shall not apply if the claim arises from: (i) your modification of the Service; (ii) your combination of the Service with non-GeneChef products or services; or (iii) your use of the Service in violation of these Terms.

19. Termination

19.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings or by contacting support@genechef.io. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your account will be deactivated.

19.2 Termination by GeneChef

GeneChef may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice, if: (a) you materially breach these Terms and fail to cure such breach within 15 days of written notice (where the breach is curable); (b) you engage in conduct that poses a security risk to the Service or other Users; (c) you fail to pay applicable fees within 30 days of the due date; (d) your use of the Service violates applicable law; or (e) we are required to do so by law or regulation. For non-material breaches, we will provide 30 days' written notice before termination.

19.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service will immediately cease
  • You will have 30 days from the date of termination to export your User Content and Research Data through the Service's data export features or by contacting support@genechef.io
  • After the 30-day export period, your User Content and Research Data will be permanently deleted in accordance with our data retention policies, except where retention is required by law
  • You remain liable for all fees incurred prior to termination, including any outstanding GPU compute overage charges
  • Sections 9 (Intellectual Property), 10 (Data Ownership), 16 (Disclaimer), 17 (Limitation of Liability), 18 (Indemnification), 20 (Governing Law), and 21 (Dispute Resolution) shall survive termination

19.4 Discontinuation of Service

GeneChef reserves the right to discontinue the Service or any feature thereof at any time. In the event of a complete discontinuation of the Service, we will provide at least 90 days' advance notice and will make reasonable efforts to assist you in exporting your data. Prepaid fees for the unused portion of the subscription term will be refunded on a prorated basis.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Notwithstanding the foregoing, nothing in these Terms shall deprive you of any mandatory consumer protection rights granted to you under the laws of your jurisdiction of residence.

21. Dispute Resolution

21.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact GeneChef at support@genechef.io and attempt to resolve the dispute informally for a period of at least 60 days. Most disputes can be resolved through good-faith negotiation.

21.2 Binding Arbitration

If the dispute cannot be resolved informally, you and GeneChef agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

21.3 Class Action Waiver

YOU AND GENECHEF AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

21.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations. Additionally, this arbitration agreement does not apply to claims that are required by applicable law to be resolved in court, or to disputes subject to mandatory consumer protection arbitration rules in your jurisdiction.

22. Export Compliance

You acknowledge that the Service may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You agree that you will not use, export, re-export, or transfer the Service or any technical data obtained through the Service in violation of any applicable export control laws or regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted party list.

23. Force Majeure

GeneChef shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond GeneChef's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, power outages, internet or telecommunications failures, AWS infrastructure outages, cyberattacks, or government actions. GeneChef will use commercially reasonable efforts to mitigate the impact of any force majeure event and will resume performance as soon as reasonably practicable.

24. Modifications to Terms

GeneChef reserves the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last Updated" date at the top of these Terms; (b) provide notice via email to the address associated with your account at least 30 days before the changes take effect; and (c) post a prominent notice on the Service. Non-material changes (such as typographical corrections or clarifications) may be made without prior notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Service and cancel your subscription before the changes take effect.

25. General Provisions

25.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Enterprise agreements, BAAs, or SLAs, constitute the entire agreement between you and GeneChef with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and GeneChef regarding the Service.

25.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

25.3 Waiver

The failure of GeneChef to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of GeneChef.

25.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of GeneChef. GeneChef may assign these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void.

25.5 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and GeneChef and do not create any third-party beneficiary rights. Nothing in these Terms shall be construed to create any agency, partnership, joint venture, or employment relationship between you and GeneChef.

25.6 Notices

All notices required or permitted under these Terms shall be in writing and shall be deemed given when: (a) delivered personally; (b) sent by confirmed email; or (c) sent by nationally recognized overnight courier. Notices to GeneChef shall be sent to support@genechef.io. Notices to you shall be sent to the email address associated with your account.

25.7 Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
